When Trust is Broken: Legal Remedies for Shareholders & Partners in Albania

At Alba Legal, we understand that business disputes between shareholders or partners can escalate quickly—especially when fiduciary duties are violated, minority shareholders are oppressed, or partnerships become unworkable.

Albanian corporate law provides mechanisms to protect stakeholders, but navigating these claims requires strategic legal action. Here’s what you need to know—and how we can help.

 1. Breach of Fiduciary Duty Claims in Albania

What Is Fiduciary Duty?
The applicable duties depend on the company form and the person’s role. Administrators’ duties, conflicts of interest and members’ obligations must be assessed under Law No. 9901/2008, the statute and the facts; majority ownership alone is not a substitute for that analysis. Relevant duties may include:
– Duty of Care (making informed decisions)
– Duty of Loyalty (avoiding conflicts of interest)
– Duty of Good Faith (fair dealing)

 Common Violations in Albania

– Self-dealing (diverting business opportunities for personal gain)
 – Financial mismanagement (hiding profits, reckless spending)

–  Fraudulent transactions (selling assets below market value to related parties)

 Legal Remedies
– Claims for proven loss against the legally responsible persons, distinguishing loss suffered by the company from a member’s own loss
– Applications for interim protection where the applicable procedural conditions are met
– Removal through the competent company organ, or judicial revocation where the statutory conditions are met

Hypothetical example: An administrator sells company assets to a related business below their substantiated value. The transaction’s approvals, conflicts and evidence of loss must be examined. A loss to the company does not automatically become a direct compensation claim for each minority member.

2. Minority Shareholder Oppression: Signs & Solutions

How Are Minority Shareholders Oppressed?
A minority position does not by itself establish unlawful treatment, and statutory thresholds depend on the particular remedy. Potential warning signs include:
– Exclusion from key decisions
– Withholding financial information
– Refusal to distribute profits where the decision, mandatory distribution rules and evidence indicate an unlawful infringement; the existence of profits alone does not establish abuse
– Dilution of shares through unfair capital increases

 Legal Recourse Under Albanian Law
– Withdrawal from a Sh.p.k.: Article 101 permits withdrawal for reasonable causes, including specified harm or prevention of rights. It requires written notification to the company with reasons and an assembly process. If the assembly is not convened or rejects the reasons, the member may bring a claim against the company for liquidation of the quota. It is not an automatic right to force the majority member personally to purchase it.
– Investigation and company claims: Articles 91–92 provide specific routes, standing requirements and time limits. A request to the assembly, a claim in the company’s name and an individual rights claim are different procedures.
– Dissolution: Article 99 requires a legally recognized ground and the relevant company or court process. Conflict or a minority complaint alone does not automatically dissolve a company.

Alba Legal’s Approach: We assess the records, legal standing and available remedies and, where appropriate, coordinate financial evidence with suitably qualified professionals. A negotiated transfer, governance reform or litigation should be compared against its cost, proof and execution risks.

3. Forced Buyouts & Partnership Dissolutions
When Business Relationships Break Down
Disputes in LLCs, joint ventures, or family businesses may lead to:
– Deadlock (equal partners refusing to cooperate)
– Breach of partnership agreements
– Financial sabotage (one partner draining company funds)

Legal Options
1. Forced Buyout

– For a Sh.p.k., distinguish a negotiated quota sale from withdrawal under Article 101 and judicial exclusion under Article 102. Each has different conditions; dissent alone does not establish a universal compulsory purchase right.
– Valuation may require independent financial expertise and an assessment of the applicable legal basis, relevant date and evidence. Financial models do not themselves establish entitlement to payment.

2. Judicial Dissolution
– For a Sh.p.k., Article 99 addresses statutory dissolution grounds, including continuing inability of company organs to function or other grounds making business activity absolutely impossible. Dissolution and liquidation have distinct steps.
– The applicable ground, competent decision-maker and procedure must be established. Deadlock and mismanagement must be analysed against those requirements, including whether the cause can be remedied.

Hypothetical example: Two members of a construction company repeatedly block essential decisions. Before seeking dissolution, examine the statute, the organs’ actual inability to function, possible corrective decisions and negotiated exit options. A disagreement lasting a stated number of months is not by itself an automatic liquidation trigger.

Procedural safeguards for Sh.p.k. members
Under Article 91, members holding at least 5% of total votes, or a lower statutory threshold, and/or any company creditor may request a special investigation from the assembly on substantiated suspicions of a violation. Following refusal, the court application is subject to a 30-day period; failure to decide within 60 days is treated as refusal. Article 91 also imposes three-year limits linked to registration or the irregular act, as applicable.

Under Article 92, members meeting the 5% voting threshold, or a lower statutory threshold, and/or creditors with claims at least equal to 5% of capital may request assembly action for judicial revocation of an administrator. Following refusal, the statutory route permits a claim in the company’s name within 30 days; absence of a decision within 60 days is treated as refusal. Paragraph 6 extends the stated rights to specified company damages claims and other claims provided by law or statute. These are not unrestricted individual claims to recover the company’s loss personally.

Article 93 separately protects a member prevented from exercising rights, including a claim to stop the infringement or obtain compensation within three years of the infringement. Article 94 prevents the statute from limiting the rights under Articles 91–93. Other claims and company forms may have different rules; do not apply these thresholds or deadlines universally.

Legal basis: Law No. 9901/2008, as amended, Articles 91–95 and 99–103 (official QKB text). This is general information; standing, evidence, notices and deadlines require assessment for the actual case.
