Contract renewals in Albania deserve attention before the expiry date appears on a calendar. A service agreement may contain a separate window for stopping renewal, a price review mechanism and conditions for extending support. A register helps a business bring these issues to the right person while there is still time to decide.

This is a practical management method for commercial contracts. It does not create a universal legal deadline or replace review of the agreement and any mandatory rules for its particular type.

The legal starting point: agreement, interpretation and binding effect

Under Article 690 of the Civil Code, a properly concluded contract binds the parties; amendment or termination requires mutual consent or a ground provided by law. This is why an internal decision to stop buying a service must be distinguished from an effective contractual step. It is also why a proposed discount should not be recorded as an agreed change before the necessary agreement exists.

Article 676 addresses agreement on essential terms and recognises express or tacit manifestation of intention. Articles 681–682 require interpretation in the context of the parties’ shared intention, conduct and the agreement as a whole. In a renewal review, examine correspondence and performance alongside the clause; do not conclude from this general rule that silence always renews a contract or that a particular form requirement can be ignored.

These provisions are a framework, not a single renewal regime for every transaction. Employment, consumer, lease and franchise arrangements can raise separate rules. The practical task is first to identify the contract type, then check its renewal language and any applicable special requirements. The register should display the reviewer’s conclusion and the supporting documents, while keeping an unresolved interpretation visibly open.

1. Start with the complete contract

Collect the signed agreement, amendments, schedules and relevant renewal correspondence. Record which document changes the duration or notice clause. A spreadsheet based on an outdated contract can create false confidence even when its reminders work perfectly.

Keep the final documents in one controlled location. Link each register entry to the relevant clause and page, rather than copying a date without its conditions. Include separate entries for different services when they renew on different terms.

2. Record decision dates as well as expiry

Useful fields include the parties, service, start date, current end date, renewal mechanism, notice window, required recipient, delivery method, budget owner and document link. Add a column for uncertainties that need legal review.

Work backwards from the contractual notice window to an internal decision date. Allow time for a performance review, budget approval and preparation of any communication. Internal reminders are management choices, not statements of statutory deadlines.

3. Decide whether to renew, renegotiate or exit

Ask the operational owner whether the service still meets business needs. Compare actual use, unresolved issues, price changes and the cost of switching. Check access to records, return of equipment and handover arrangements before ending an essential service.

Use a short decision note: proposed option, commercial reasons, unresolved legal points and person authorised to approve. An intention to renegotiate should not be confused with a completed amendment or a valid notice stopping renewal.

4. Match the decision to the contract

Review the contract and the applicable legal rules before acting; the Albanian Civil Code is a starting point, with special regimes requiring separate assessment. A register is not a legal opinion on the effect of silence or continued performance.

If notice is required, preserve the approved text and delivery evidence. If terms change, retain the signed amendment with the old version and update the register. For the delivery process, see our guide to contract notices.

5. Test the register with one example

Hypothetical example: a company tracks a maintenance agreement with a renewal clause. The operations manager recommends continuing, but finance wants a different service level. The register flags the decision early; the team must still agree and document any changes before treating them as binding.

Reading the renewal clause: four different mechanisms

A fixed end date, an automatic extension, a fresh agreement and an option exercisable by one party are different mechanisms. The register should identify which wording the contract actually uses. Do not label every continuation as an automatic renewal simply because invoices continue to arrive. Where the wording or subsequent conduct creates uncertainty, record the issue for legal assessment rather than letting the spreadsheet decide it.

For an automatic extension, capture both the trigger and the method for preventing it. For a renewal requiring fresh agreement, track the steps still outstanding. For an option, identify who holds it and what must be done to exercise it. These are questions to extract from the documents; the answers cannot be assumed across all Albanian commercial contracts.

Separate commercial approval from legal implementation

The operations team may recommend renewal because the supplier performs well. Finance may approve a budget, while a different person has authority to sign an amendment. These decisions serve different purposes. Name the owner of each step and require evidence that the process is complete. A favourable budget decision does not itself send a notice or execute an agreement.

A useful decision record states the contract version reviewed, the proposed duration, the price and any unresolved condition. If approval depends on a discount or service change, show that dependency clearly. Until the supplier agrees, the register should not display the proposed terms as the terms already in force.

Calculate dates without losing the contractual conditions

Copy the full notice wording next to the calculated date. Check the event from which time runs, whether the wording concerns sending or receipt, and whether the contract specifies a particular address or channel. Flag ambiguities about calendar calculations for review. An automated reminder cannot correct an incorrect interpretation of the underlying clause.

As a management safeguard, assign an internal review date earlier than the last possible action date. The appropriate margin depends on approvals, translations and delivery arrangements. There is no standard reminder interval prescribed here. A second person can check critical entries against the document, especially for expensive or operationally essential services.

The transition risk is often larger than the renewal price

Before deciding to exit, map the practical dependencies: who controls the service account, where business records are held, what equipment must be returned and whether a replacement supplier is ready. Check the contractual arrangements for cooperation and access. Continuing a service temporarily and negotiating a new agreement are different choices and should be recorded separately.

Avoid assuming that termination permits immediate deletion of every record or automatic access by a new supplier. Data, confidentiality and retention requirements need their own assessment. The renewal register should point to these checks and their owners; it should not try to replace a dedicated legal or technical transition plan.

Two decisions that look similar but produce different risks

Hypothetical example: a software supplier proposes a lower annual fee, but the business wants fewer user licences. If the team records only the new price, it may overlook the licence count, support scope and effective date. The decision should therefore identify the exact package accepted and the document recording it. A verbal expectation of a discount should remain an unresolved item until properly documented.

In another hypothetical case, a service is no longer needed, but the only person receiving renewal emails has left the company. A shared register and backup owner reduce the chance that correspondence is missed. The legal consequence of any missed notice still depends on the contract and applicable rules; an internal handover failure does not by itself answer that question.

What to bring to a renewal review

Provide the signed documents, amendment history, supplier proposal, performance summary and relevant communications. Identify the desired outcome and any date that may be approaching. Ask the reviewer to distinguish what the existing agreement already permits from what requires new consent. This turns a general request to ‘renew on better terms’ into specific decisions that can be checked and implemented.

After the decision, close the loop: retain evidence, update the next review date and record outstanding transition or performance tasks. Periodic review is important because an accurate register can become outdated after an amendment or supplier change. Alba Legal can assist with the legal interpretation while the business retains responsibility for its commercial decision and internal process.

Assign one owner and a backup, review upcoming entries regularly and close each entry with evidence of the decision. Alba Legal can help review renewal wording and coordinate notices or amendments. General information, reviewed on 17 October 2026; individual contracts require specific assessment.
