Companies operating in Albania must identify and keep accurate information about their ultimate beneficial owners. The obligation is separate from ordinary registration in the Commercial Register and is governed principally by Law No. 112/2020 “On the Register of Beneficial Owners”, as amended.
Who is a beneficial owner?
A beneficial owner is the natural person who ultimately owns or controls the reporting entity, directly or indirectly. The analysis should follow the ownership chain and examine voting rights, control arrangements and other means of decisive influence. Listing an intermediary company is not sufficient when natural persons can be identified behind it.
What must be registered?
- identification details of the beneficial owner;
- the nature and extent of ownership or control;
- documents supporting the ownership chain;
- changes affecting the declared information.
Foreign corporate shareholders
Where an Albanian company is owned by a foreign legal entity, the file normally requires reliable corporate documents from each relevant level of the chain. Depending on the jurisdiction and document, legalization or apostille and Albanian translation may be required. Complex structures should be mapped before submission.
Changes and continuing compliance
A share transfer, restructuring, merger, trust arrangement or change in control may trigger an update. QKB states that applications for changes are submitted electronically through e-Albania, with supporting documents and the electronic signature of the authorized applicant. Companies should not wait for a bank or authority to identify an inconsistency.
Why accuracy matters
Incorrect or outdated information may lead to administrative measures, delays in banking, due-diligence concerns and difficulties in corporate transactions. The Commercial Register, beneficial-owner information and documents supplied to banks should tell the same ownership story.
Practical compliance checklist
- prepare an ownership chart up to the natural persons;
- collect current official documents;
- confirm the basis of ownership or control;
- submit and retain proof of registration;
- review the record after every corporate change.
