A supplier accepts a lower payment to close an overdue account. Finance calls it a discount, the debtor calls it a final settlement, and neither has specified what happens if the transfer never arrives. Those labels do not settle whether the balance survives. Before sending the closing document, decide whether the creditor intends to release the claim now, agree to release it after performance, or simply give more time to pay.
The legal mechanism
Articles 511–513 of the Albanian Civil Code address remission. Under article 511, a written declaration by the creditor extinguishes the obligation upon notification to the debtor, subject to the debtor declaring within the specified period that it does not wish to benefit. The provision makes delivery significant. An internally approved note or an unsigned negotiation draft is poor evidence of an operative declaration. Establish which version was sent, to whom, under whose authority, and when it was received. A receipt proves delivery; it need not prove agreement to unrelated terms.
Identify what ends and what survives
List the underlying contracts and invoices, currencies, outstanding principal and payment credits. Address accrued interest, contractual penalties, expenses and disputed counterclaims separately. Specify the date at which the balance is measured. If the parties have other orders or guarantees, identify which are outside the release. A statement closing “all accounts” may create a dispute over an unrelated delivery. Where there is litigation or enforcement, separately agree which procedural steps each party will take, when and at whose expense. A commercial declaration is not itself a direction to the court, bailiff or registry.
Preserve the evidence and check security
Article 512 creates a rebuttable presumption of remission when the debtor holds the private document proving the obligation, unless it is shown that the creditor did not intentionally return it. Record why originals are handed over, identify every document and retain copies. Do not confuse an original sent for inspection with a receipt acknowledging payment. Article 513 works in the other direction: removing security does not by itself presume forgiveness of the debt. Check the security instrument and any separate discharge or registration formalities. For joint and several debtors, review article 429 before releasing one participant: remission in favour of one may discharge the others; forgiveness limited to that debtor’s share reduces the others’ exposure by that share. Do not rely on a general reservation clause to achieve an effect inconsistent with the applicable rule.
Choose a structure that matches the bargain
An immediate release suits a creditor that has already made a final decision to close the exposure and can tolerate the risk of giving up collection. A signed payment plan may instead extend time while preserving the defined balance and rights. A settlement in which the creditor undertakes to issue a release after cleared payment helps align performance and discharge: state what counts as cleared funds and what happens if payment is late or partial. Draft carefully if a replacement obligation is intended. Articles 508–510 regulate novation, with consequences for security; a change in time or payment mechanics should not casually be described as extinguishing the old claim. Set-off under articles 514 onwards concerns mutual obligations and has its own conditions. An accounting write-off is a separate question from whether the legal claim survives.
Two examples
A supplier is owed EUR 30,000 and accepts EUR 24,000 if received in full. If it declares the remaining amount forgiven immediately while the transfer is still pending, it may give up a right it meant to retain. A settlement can instead identify the EUR 24,000 payment, record how partial sums are allocated and provide for a separate closing declaration after verification. Define the treatment of interest and costs so neither side later argues that the negotiated figure settled only principal.
In a second case, two companies are jointly and severally liable. The creditor wants to accept a payment from one company and pursue the other. Before signing a document called a full release, identify the effect of article 429, the share at issue and the status of any guarantees. Compare a receipt for partial performance, a release limited to a defined share, and a global settlement. Each gives the creditor a different remaining claim; the label alone is not decisive.
Closing the file
Prepare a reconciled balance, the signed instrument, authority evidence, proof of delivery and cleared funds, and any separate instructions for proceedings and security. Have finance and legal review the same closing version. Where the receivable is pledged, assigned, subject to insolvency or held within a regulated business, assess the creditor’s ability to dispose of it before making commitments. Ask the accountant separately about reporting and tax effects. Alba Legal assists creditors with reviewing the debt, negotiating settlements and coordinating the steps needed to close an enforcement file.
