A signed agreement does not always mean a business transaction is ready to complete. Documents may be missing, consents outstanding or payment instructions unresolved. A transaction closing checklist helps the parties see what remains to be done before they release funds or confirm completion.

Start with the contract, not a generic template

Read the signed agreement and identify the steps it actually requires. Separate conditions to completion from documents exchanged at completion and obligations due afterwards. A practical checklist should use the contract’s wording and references, rather than create new conditions that the parties never agreed.

Albanian Civil Code rules on conditional legal acts and contractual freedom provide relevant background. Whether a particular clause delays an obligation, allows termination or only requires a later action depends on its wording and applicable mandatory rules. Have that distinction reviewed before relying on it.

Use one row for each requirement

For every item record: the relevant clause; the action or document; the responsible person; the deadline; the evidence needed; and who will confirm acceptance. Add a status such as outstanding, submitted, under review or confirmed. A document being sent is not the same as its contents being accepted.

For example, if a lender’s consent is required, record the consent itself and the reviewer who confirms that it covers the proposed transaction. Do not mark the condition complete merely because an application has been submitted.

Keep approvals and commercial decisions distinct

Identify company approvals, third-party consents and regulatory requirements separately. Check which ones are relevant to this transaction. A party’s willingness to proceed cannot be assumed to remove a mandatory legal requirement. Any proposed waiver needs its own legal review and appropriate authority.

Control the completion documents and payments

Keep a single agreed version of each document. Check names, amounts, annexes and signature authority. Coordinate the order of signatures, delivery and payments so that each participant knows what may be released and when.

Verify changed bank details with a known contact through a separate trusted channel. An urgent email should not be the sole basis for changing the destination of a payment. Record the agreed payment instructions and the confirmation received.

Record the decision to complete

Before completion, circulate the final outstanding-items list. Where an item remains open, document whether completion is postponed or whether a legally permissible alternative has been agreed. Do not use a blanket statement that all conditions are satisfied if the evidence says otherwise.

After completion, retain the signed documents, confirmations and payment evidence. Move later filings, notices and other follow-up tasks into a separate list with named owners and deadlines. Alba Legal can review the checklist and the unresolved legal issues before the completion meeting.
