A commercial lease can determine whether a business opens on time and operates without avoidable disputes. Before signing for an office, shop, restaurant, clinic or warehouse in Albania, the tenant should verify both the property and the contract.

1. Verify the landlord and the property

Request current cadastral documents and confirm that the contracting landlord has authority to lease the premises. Check co-ownership, mortgages, seizures and other restrictions. The physical space, boundaries and cadastral description should match.

2. Confirm the permitted use

The contract should state the intended activity. Registration of the company does not replace sector licences, municipal permissions or technical approvals. The premises must be suitable for the planned use.

3. Define term, renewal and possession

Record the start date, duration, renewal mechanism, handover conditions and any rent-free fit-out period. Avoid relying on informal promises concerning extensions.

4. Rent and additional costs

Specify currency, VAT treatment where applicable, payment date, indexation, security deposit, common charges, utilities, local taxes and penalties. A clear allocation prevents later disputes.

5. Works and fit-out

State which works are allowed, who obtains approvals, who owns improvements and what must be restored at exit. Attach plans and a signed handover report with photographs and meter readings.

6. Termination and business continuity

Negotiate notice, cure periods, early termination, force majeure, loss of licences, property damage and sale of the property. The Civil Code governs leases, but the contract should address the risks specific to the business.

7. Registration and enforceability

Long-term leases and leases affecting third parties require particular attention to form and registration. Obtain advice before assuming that a private agreement alone protects the tenant against a future purchaser or creditor.
